Terms and Conditions of Sale
1. Purpose
1.1 These General Terms and Conditions of Sale (“GTCS”) apply to all sales of goods by us notwithstanding any conflicting, contrary or additional terms and conditions in any purchase order or other communication from you. No such conflicting, contrary or additional terms and conditions shall be deemed accepted by us unless and until we expressly confirm our acceptance in writing.
1.2 These terms govern the sale of virtual products, including music titles, via the Kaphonic website.
2. Virtual Products
2.1 Sold products are virtual goods, such as audio files in MP3 or other specified formats.
2.2 All purchase orders issued by you shall specify as a minimum the type and quantity of goods requested and applicable unit prices. No purchase order shall be binding on us unless and until confirmed by us in writing.
3. Orders and Payments
3.1 The prices for goods shall be those set forth in our order confirmation. All prices are inclusive of taxes, impositions and other charges, including, but not limited to, sales, use, excise, value added and similar taxes or charges imposed by any government authority.
3.2 Unless expressly stated otherwise in our order confirmation, payment for goods shall be made without offset or deduction.
3.3 Orders are placed online via our website. Payments are securely processed by Paypal or any other specified payment service provider.
3.4 The customer is responsible for providing accurate and complete payment information.
4. TERMS OF DELIVERY
4.1 Virtual products will be available for immediate download upon payment confirmation.
5. Copyright and Usage
5.1 The purchase of virtual products grants the customer a personal use license. All copyrights remain the property of Kaphonic.
5.2 Any reproduction, distribution, or commercial use of the products is strictly prohibited without written authorization.
6. Claims and Refunds
6.1 Claims regarding defective virtual products must be submitted within 2 days from the purchase date.
6.2 Refunds will be assessed on a case-by-case basis and may be granted at the discretion of Kaphonic.

9. Applicable Law
9.1 These GTCS are governed by the laws of France.
